Item 8.01.  Other Events.

 

On March 4, 2021, 890 5th Avenue Partners, Inc., a Delaware corporation (the “Company”), announced that holders of the Company’s units (the “Units”) may elect to separately trade the shares of Class A common stock, par value $0.0001 per share (the “Class A common stock”), and warrants included in the Units commencing on March 5, 2021. Those Units not separated will continue to trade on the Nasdaq Capital Market ("Nasdaq") under the ticker symbol "ENFAU," and the Class A common stock and warrants that are separated will trade on the Nasdaq under the symbols "'ENFA" and "ENFAW," respectively. No fractional warrants will be issued upon separation of the Units and only whole warrants will trade. Holders of Units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the Units into shares of Class A common stock and warrants.

890 5th Avenue Partners, Inc. Announces the Separate Trading of Its Class A Common Stock and Warrants Commencing on March 5, 2021

 

NEW YORK, March 4, 2021 -- 890 5th Avenue Partners, Inc. (Nasdaq: ENFAU) (the "Company") today announced that holders of the 28,750,000 units sold in the Company's initial public offering completed on January 14, 2021, may elect to separately trade the shares of Class A common stock and warrants included in the units commencing on March 5, 2021. Those units not separated will continue to trade on the Nasdaq Capital Market ("Nasdaq") under the ticker symbol "ENFAU," and the shares of Class A common stock and warrants that are separated will trade on the Nasdaq under the symbols "'ENFA" and "ENFAW," respectively.
